Welcome to Jourdan Card Processing. These Terms of Service ("Terms") govern your access to and use of our website at jourdancardprocessing.com, our merchant services, payment processing solutions, training resources, and any related products or services (collectively, "Services").

By accessing our website, submitting a form, registering for services, or entering into a merchant services agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

These Terms apply to all visitors, merchants, clients, and others who access or use our Services.

Section 2 — Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into a binding agreement on behalf of yourself or your business
• The information you provide to us is accurate, current, and complete
• You are not prohibited from using our Services under any applicable law

If you are registering on behalf of a business entity, you represent that you are authorized to bind that entity to these Terms.

Section 3 — Our Services

Jourdan Card Processing provides merchant services and payment processing solutions including but not limited to:

• Credit card and debit card processing
• In-store, online, and mobile payment acceptance
• Virtual terminal access
• Point-of-sale (POS) systems and hardware
• Merchant cash advance and business funding
• E-commerce payment integrations
• Payment security and fraud protection tools
• Transaction management and reporting
• CardPointe and Clover platform integration and support

All Services are subject to availability and may change at any time at our sole discretion. We reserve the right to modify, suspend, or discontinue any Service with or without notice.

Section 4 — Account Registration & Merchant Applications

To access certain Services, you may be required to complete a merchant application or registration. By submitting an application, you agree that:

• All information provided is accurate, truthful, and complete
• You authorize Jourdan Card Processing and our banking partners to verify your identity, business information, and creditworthiness
• Approval for merchant services is not guaranteed and is subject to underwriting review
• You are responsible for maintaining the confidentiality of your account credentials
• You will promptly notify us of any unauthorized use of your account at [email protected]

We reserve the right to decline, suspend, or terminate any merchant account at our discretion.

Section 5 — Fees & Payment Terms

All fees related to merchant services will be disclosed in your merchant agreement or service schedule. By engaging our Services, you agree to:

• Pay all applicable processing fees, monthly fees, equipment fees, and any other charges as outlined in your merchant agreement
• Authorize Jourdan Card Processing or our processing partners to debit fees from your designated bank account on a scheduled basis
• Pay any applicable early termination fees, chargeback fees, or penalty fees as described in your agreement

Fees are subject to change with advance written notice as required by your merchant agreement. Continued use of our Services following any fee change constitutes acceptance of the updated fees.

Section 6 — Payment Processing & PCI Compliance

As a merchant using our Services, you agree to:

• Comply with all applicable Payment Card Industry Data Security Standards (PCI DSS) requirements
• Never store cardholder data — including full card numbers, CVV codes, or PINs — in an unsecured manner
• Use only PCI-compliant hardware and software approved by Jourdan Card Processing or our processing partners
• Immediately report any suspected data breach, unauthorized access, or security incident to us at [email protected] and (888) 685-6825
• Cooperate fully with any investigation related to a security incident or data breach

Failure to maintain PCI compliance may result in fines, increased processing fees, or termination of your merchant account.

Section 7 — Chargebacks & Disputes

You understand and agree that:

• Chargebacks may occur when a cardholder disputes a transaction with their card-issuing bank
• You are responsible for maintaining proper records, receipts, and documentation to respond to chargeback disputes
• Excessive chargebacks may result in additional fees, account review, or termination of your merchant account
• Jourdan Card Processing may debit chargeback amounts and associated fees directly from your account
• We will make reasonable efforts to assist you in the chargeback dispute process but cannot guarantee outcomes

Section 8 — Prohibited Uses

You agree not to use our Services for any of the following:

• Processing transactions that are fraudulent, illegal, or unauthorized
• Selling goods or services that are prohibited by law or by our processing partners' acceptable use policies
• Circumventing or attempting to circumvent security measures
• Engaging in money laundering, structuring, or other financial crimes
• Processing transactions on behalf of undisclosed third parties
• Any activity that violates applicable federal, state, or local law

Violation of this section may result in immediate account termination, withholding of funds, and referral to law enforcement.

Section 9 — Cancellation & Termination

By You: You may cancel your merchant services account by providing written notice as specified in your merchant agreement. Early termination fees may apply.

By Us: Jourdan Card Processing reserves the right to suspend or terminate your account at any time, with or without cause, including but not limited to:

• Violation of these Terms or your merchant agreement
• Excessive chargebacks or suspicious activity
• Failure to pay fees when due
• Risk management decisions by our banking or processing partners

Upon termination, any outstanding fees, chargebacks, or reserves owed to us remain due and payable. We may withhold funds as necessary to cover outstanding obligations.

Section 10 — Equipment & Hardware

If you lease or purchase payment terminals, POS systems, or other hardware through Jourdan Card Processing:

• Equipment leases are subject to separate lease agreements and are non-cancelable for the lease term
• Purchased equipment is sold as-is unless otherwise specified in writing
• You are responsible for the care, maintenance, and security of all equipment in your possession
• Loss, theft, or damage to leased equipment may result in replacement fees

Section 11 — SMS & Communication Consent

By providing your phone number or email address, you consent to receive communications from Jourdan Card Processing including:

• Account updates and service notifications
• Processing alerts and transaction summaries
• Program announcements and service updates
• Promotional offers and marketing messages related to our services

Message frequency varies. Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any message. For assistance, reply HELP or contact us at [email protected] or (888) 685-6825.

Wireless carriers are not liable for delayed or undelivered messages.

Section 12 — Limitation of Liability

To the fullest extent permitted by applicable law, Jourdan Card Processing, its officers, directors, employees, agents, and partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, processing errors, or system downtime
• Unauthorized access to or alteration of your data
• Any damages arising from your reliance on information provided through our Services

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total fees paid by you to Jourdan Card Processing in the three (3) months preceding the claim.

Section 13 — Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We are not responsible for the actions or services of third-party processors, banks, or technology partners.

Section 14 — Indemnification

You agree to indemnify, defend, and hold harmless Jourdan Card Processing, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any dispute between you and a customer, cardholder, or third party
• Any data breach resulting from your failure to maintain PCI compliance

Section 15 — Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Our Privacy Policy is incorporated into these Terms by reference. You can review it at:

Section 16 — Intellectual Property

All content on jourdancardprocessing.com, including text, graphics, logos, images, and software, is the property of Jourdan Card Processing and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

Section 17 — Changes to These Terms

Jourdan Card Processing reserves the right to update or modify these Terms of Service at any time. When we make material changes, we will:

Any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration in Temecula, California, except that either party may seek injunctive relief in a court of competent jurisdiction.
